Valley Tech, LLC – Terms & Conditions of Service

By receiving services from Valley Tech, LLC ("Valley Tech"), you agree to the following Terms & Conditions. These govern all service categories including installation, ongoing support, and remote communication via SMS. Individual contracts or statements of work may include further details.

1. General Service Terms

 

  • Valley Tech provides enterprise-grade technology services to commercial and residential clients.
     
  • All services are bound by the details outlined in your signed service agreement or quote.
     
  • Valley Tech may use subcontractors or third-party solutions but remains your primary point of contact unless otherwise specified.

2. Billing, Payment, and Termination

 

  • Invoices are due 15 days after the invoice is generated, unless otherwise specified in your contract.
     
  • 30-day terms may be approved on a case-by-case basis with prior authorization.
     
  • A 5% late fee applies after the due date.
     
  • Services may be suspended after 30 days of non-payment and accounts may be sent to collections after 60 days.
     
  • Contract termination is subject to the terms of your signed agreement.
     
  • Rented or loaned equipment must be returned within 10 business days of termination, or you may be billed for replacement costs.

3. SMS Terms of Service (RingCentral Compliance)

 

By opting into SMS alerts or communications:

  • You consent to receive messages related to service scheduling, account notices, support updates, and promotional materials.
     
  • Message frequency may vary. Message and data rates may apply.
     
  • To opt out, reply “STOP.” For help, reply “HELP” or visit ValleyTechMT.net.
     
  • Your SMS consent is never shared with third parties or affiliates.

4. Service-Specific Terms

 

 

A. Video Surveillance Systems

  • Installation includes professional mounting, cabling, NVR/DVR setup, and mobile app access when applicable.
     
  • Valley Tech retains administrative credentials and remote access unless explicitly waived in writing.
     
  • We are not liable for lost access due to clients changing passwords and failing to inform us.
     
  • Customer is responsible for ensuring that recording settings are sufficient for retention goals.
     

B. Security & Alarm Systems

  • Alarm systems may include intrusion detection, environmental sensors, and emergency alert integration.
     
  • Clients are responsible for notifying local authorities of system installation and ensuring applicable permits are in place.
     
  • Valley Tech is not responsible for false alarm fees or unreported malfunctions.
     
  • Ongoing monitoring is handled by third-party services where applicable.
     

C. Access Control Systems

  • Includes door hardware, control panels, badge/fob provisioning, and access management software.
     
  • Client is responsible for reporting lost credentials and securing access rights.
     
  • Additional access points or devices added post-installation will be subject to a new estimate.
     
  • Valley Tech retains administrative access for maintenance and support unless waived in writing.
     

D. Enterprise Wi-Fi & Network Infrastructure

  • Includes wireless APs, firewalls, switches, routers, and structured cabling.
     
  • Devices must not be modified without Valley Tech’s prior approval.
     
  • Performance issues caused by unauthorized third-party equipment, building materials, or external interference are outside of Valley Tech’s control.
     
  • Remote management requires retaining administrative access credentials.
     

E. Business Phone Systems

  • Valley Tech offers design, deployment, and support of VoIP-based phone systems, including RingCentral and similar platforms.
     
  • Features may include auto-attendants, call routing, voicemail-to-email, SMS, and mobile extensions.
     
  • Number porting and setup may be subject to provider-specific timelines and fees.
     
  • Phone service depends on reliable internet connectivity, which is the client’s responsibility.
     

F. Public Address (PA) & Distributed Audio Systems

  • Systems include paging zones, multi-room audio, speaker setup, amplifiers, and control systems.
     
  • Sound performance is dependent on environmental factors; one round of tuning is included after install.
     
  • Additional tuning or adjustments are available at standard labor rates.
     

G. Structured Cabling

  • Valley Tech installs CAT5e/CAT6/CAT6A, fiber optic, coax, and low-voltage cabling for:
     
    • Network infrastructure
       
    • Video surveillance
       
    • Access control
       
    • Alarm systems
       
    • Audio systems (PA & distributed audio)
       
  • Conduit, surface mount raceways, or wall penetrations are used as needed.
     
  • Minor wall repair or patching is the client’s responsibility unless otherwise quoted.
     
  • Cabling is tested and certified; unauthorized tampering voids workmanship warranty.
     

H. IT Support Services

  • Includes managed endpoint support, workstation setup, patching, antivirus deployment, and software troubleshooting.
     
  • Priority is given to customers with an active Managed Services Agreement (MSA).
     
  • Support may be remote or onsite depending on the issue and agreement terms.
     
  • Valley Tech is not responsible for issues caused by client negligence, outdated software, or unsupported hardware.
     

5. Equipment Ownership and Warranties

  • Ownership of installed hardware is defined in your service agreement.
     
  • Rented or leased equipment remains Valley Tech property unless paid in full.
     
  • Valley Tech warranties all workmanship for 90 days.
     
  • Manufacturer warranties apply to applicable devices; Valley Tech will assist with claim facilitation where possible.

6. Limitation of Liability

  •  Ownership of installed hardware is defined in your service agreement.
     
  • Rented or leased equipment remains Valley Tech property unless paid in full.
     
  • Valley Tech warranties all workmanship for 90 days.
     
  • Manufacturer warranties apply to applicable devices; Valley Tech will assist with claim facilitation where possible.

7. Privacy & Data Protection

 Valley Tech respects your privacy and complies with SMS and data protection laws. See our Privacy Policy for full details, including:

  • What personal information is collected
     
  • How it is used
     
  • With whom it is shared (never shared without consent)
     
  • Confirmation that SMS consent is not shared with third parties

8. Modifications
